The 9 Relevant Activities Under ESR
- Banking Business — deposit-taking, lending, and related banking services
- Insurance Business — underwriting of risks including life, general, and reinsurance
- Investment Fund Management Business — management of collective investment schemes
- Lease-Finance Business — providing credit or financing facilities including financial leasing
- Headquarters Business — group-level management and support services to related parties
- Shipping Business — operation or management of ships in international waters
- Holding Company Business — holding equity interests or securities as primary activity
- Intellectual Property Business (IP) — deriving income from patents, trademarks, and software
- Distribution and Service Centre Business — purchasing and reselling goods from foreign group companies
Filing Requirements
- Notification Form: Filed with the relevant regulatory authority within the annual licensing renewal cycle
- Annual Substance Return: Providing evidence of economic substance including income allocation, employees, operating expenditure, and management presence in the UAE
Penalties for Non-Compliance
- Failure to submit notification: AED 20,000
- Failure to submit annual substance report: AED 50,000 plus deemed failure
- Inaccurate or incomplete information: AED 50,000 plus deemed failure
- Second consecutive failure: AED 400,000, information exchange with foreign authorities, and potential licence suspension
